Terms and Conditions for Using Our Services
These Terms of Service ("Terms") govern your access to and use of the website www.cityhubtd.com (the "Website") and any enquiry, quotation, order, product or service (collectively, the "Services") offered by Cityhub Tech & Design Pty Ltd ("Cityhub Tech & Design", "Cityhub", "the Company", "we", "us" or "our"), a private company registered in Maseru, Lesotho.
By accessing the Website, submitting an enquiry, requesting a quotation, placing an order, signing a proposal, or otherwise engaging Cityhub Tech & Design for any Service, you ("the Client", "you" or "your") confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Website or engage our Services.
Where a Client enters into a separate signed agreement, statement of work, quotation or Master Service Agreement with Cityhub Tech & Design for a specific project, the terms of that signed document shall take precedence over these Terms to the extent of any conflict, and these Terms shall apply to all matters not expressly addressed in that document.
Cityhub Tech & Design Pty Ltd is a registered company based in Maseru, Lesotho, offering an integrated range of graphic design, printing, branded merchandise and information and communication technology (ICT) services, including website design, development and hosting. In these Terms, unless the context requires otherwise: "Deliverables" means the final design files, printed products, merchandise, websites, software or other outputs produced by Cityhub Tech & Design for a Client. "Content" means any text, images, logos, trademarks, video, audio, data or other material supplied by a Client or generated on the Client's behalf. "Portal" means the Website Management Portal or Advanced Management Dashboard made available to certain hosting clients. "Order" means any quotation, proposal, invoice or work order accepted by a Client, whether in writing, by email, verbally confirmed, or through part or full payment of a deposit.
Cityhub Tech & Design offers, among other things, the following categories of Services, each of which may be subject to additional terms set out in a specific quotation or package description:
Service descriptions, specifications, package inclusions and indicative pricing published on the Website or in a quotation are provided in good faith but may be updated from time to time. Any material change affecting a Client's confirmed Order will be communicated before the change takes effect.
All quotations are estimates based on the information and specifications provided by the Client at the time of enquiry and remain valid for the period stated in the quotation, or if none is stated, for thirty (30) days from the date of issue. A binding Order is formed once a Client accepts a quotation in writing (including by email or electronic signature), or by making the required deposit payment, whichever occurs first.
Cityhub Tech & Design reserves the right to decline or cancel any Order, including where the requested Content is unlawful, infringes third-party rights, is discriminatory or offensive, cannot reasonably be fulfilled with available materials or equipment, or where payment cannot be verified.
Prices are quoted in Lesotho Loti (LSL/M) unless otherwise stated and are exclusive of any applicable taxes, duties or bank charges unless expressly indicated. Unless a different arrangement is agreed in writing:
Domain name registration and renewal are billed separately from hosting and design packages unless expressly included in a quotation. Paid third-party plugins, premium themes, licensed stock content, paid APIs, payment gateway fees, professional photography, copywriting and major post-launch redesigns are quoted and invoiced separately from the base package price.
Where a project includes design work, Cityhub Tech & Design will provide digital proofs or drafts for the Client's review. The number of included revision rounds is stated in the applicable quotation or package; further revisions may be quoted separately. Once a Client approves a proof, layout or design in writing (including by email, message or signed proof sheet), Cityhub Tech & Design is authorised to proceed to production, printing or publication, and the Client accepts full responsibility for any errors, omissions or inaccuracies that were present in, and could reasonably have been identified from, the approved proof.
Estimated turnaround times are provided for guidance only and begin once full artwork, Content, specifications and any required deposit have been received. Turnaround times may be affected by order volume, complexity, equipment availability, courier or postal delays, and delays attributable to the Client (such as late feedback or approval). An express or rush service may be available for an additional surcharge, as indicated in the applicable price list or quotation.
Products may be collected from our premises, delivered by road within Maseru and surrounding areas, or shipped, at the rates and timelines agreed at the time of ordering. Risk in physical goods passes to the Client upon collection or handover to a courier or delivery driver.
Because most Deliverables are custom-made to a Client's specifications, deposits are generally non-refundable once design or production work has commenced. If a Client cancels an Order before work has begun, any amount paid, less a reasonable administrative fee, may be refunded at Cityhub Tech & Design's discretion. Custom-printed and personalised items cannot be returned or exchanged unless they are defective, damaged in production, or materially do not match the approved proof, in which case Cityhub Tech & Design will, at its discretion, correct, reprint or refund the affected items.
Claims relating to print quality, colour variance or finishing defects must be raised within seven (7) days of collection or delivery, accompanied by evidence (such as photographs) where possible. Minor variations in colour between a digital screen proof and the final printed product, which are inherent to the printing process, do not constitute a defect.
Website packages (including the NOVA, VANTA and AUREX packages or any successor packages) combine website design and development with hosting for an initial period, typically the first twelve (12) months from launch, as stated in the applicable quotation. The following additional terms apply to website and hosting Services:
Certain packages include access to a Website Management Portal or Advanced Management Dashboard developed by Cityhub Tech & Design, allowing authorised users to manage selected website content such as text, images, news items, galleries and enquiries. The Portal is separate from the cPanel hosting account, which is used for technical hosting functions such as email accounts, files, databases and backups.
Clients are responsible for maintaining the confidentiality of any usernames, passwords or access credentials issued to them, for restricting access to authorised personnel only, and for all activity that occurs under their account. Cityhub Tech & Design should be notified immediately of any suspected unauthorised access. The Portal exposes only the features configured for the Client's selected package and is not a full content management, customer relationship management, or general business management system.
Unless otherwise agreed in writing, ownership of the final approved Deliverables (such as a completed logo, printed design or website) transfers to the Client only upon receipt of full and final payment for the relevant project. Prior to full payment, all concepts, drafts, source files and Deliverables remain the property of Cityhub Tech & Design.
Cityhub Tech & Design retains ownership of its underlying tools, templates, proprietary code, design frameworks, the Website Management Portal software, and any pre-existing intellectual property used to create the Deliverables, and grants the Client a licence to use the final Deliverables for their intended business or personal purpose. Working files, layered source files, unused concepts and design drafts are not included in the final handover unless separately purchased or agreed.
Unless a Client specifically requests otherwise in writing, Cityhub Tech & Design may showcase completed projects (including images of printed products, websites and designs) in its portfolio, on the Website, on social media and in other marketing materials, for the purpose of promoting its Services.
The Client warrants that any Content, logos, trademarks, images, text or other material it supplies to Cityhub Tech & Design does not infringe the intellectual property, privacy or other rights of any third party, and the Client agrees to indemnify Cityhub Tech & Design against any claim, loss or liability arising from a breach of this warranty.
Clients and users of the Website, Portal or hosting services must not use them to: transmit unlawful, defamatory, obscene, hateful or fraudulent Content; infringe the intellectual property or other rights of any third party; distribute malware, spam or unsolicited bulk communications; attempt to gain unauthorised access to any system, account or data; or interfere with the proper functioning of the Website, Portal, hosting infrastructure or other clients' services sharing the same reseller environment. Cityhub Tech & Design reserves the right to suspend or terminate access, without refund, where these obligations are breached.
Our Services and Deliverables may incorporate or link to third-party tools and platforms, including Google Analytics, Google Maps, Google Search Console, WhatsApp, social media platforms, payment gateways and hosting infrastructure providers. These third parties operate under their own terms and privacy practices, which are outside Cityhub Tech & Design's control. We are not responsible for the availability, content, security practices or policies of third-party services, although we take reasonable care in selecting reputable providers.
Each party agrees to keep confidential any non-public business, technical, financial or Content-related information disclosed by the other party in connection with a Service, and to use such information only for the purpose of fulfilling the relevant Order, except where disclosure is required by law or agreed in writing.
Cityhub Tech & Design will perform the Services with reasonable skill, care and diligence, in line with generally accepted industry standards. Except as expressly stated in these Terms or in a signed Order, the Services, Deliverables and Website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation, to the fullest extent permitted by applicable law.
To the fullest extent permitted by the laws of Lesotho, Cityhub Tech & Design's total aggregate liability to a Client arising out of or in connection with any Service, Order or these Terms, whether in contract, delict/tort or otherwise, shall not exceed the total amount actually paid by the Client for the specific Service giving rise to the claim. Cityhub Tech & Design shall not be liable for any indirect, incidental, special, consequential or punitive damages, loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
The Client agrees to indemnify and hold harmless Cityhub Tech & Design, its directors, employees and contractors from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from the Client's breach of these Terms, misuse of the Services, Website or Portal, or infringement of any third-party right through Content supplied by the Client.
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to power outages, internet or network failures, natural disasters, strikes, civil unrest, government action, supply chain disruptions or the failure of a third-party service provider or supplier.
Cityhub Tech & Design may suspend or terminate a Service, Order, hosting account or Portal access, with reasonable notice where practicable, in the event of non-payment, breach of these Terms, unlawful use, or where continued provision of the Service becomes impractical. A Client may terminate an ongoing engagement or recurring service by providing written notice; fees already paid for work performed, and any non-refundable deposits, will not be refunded except as required by law.
These Terms are governed by and construed in accordance with the laws of the Kingdom of Lesotho. The parties agree to first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. If a dispute cannot be resolved amicably within a reasonable period, either party may submit the matter to the courts of Lesotho, which shall have exclusive jurisdiction.
Cityhub Tech & Design may update these Terms from time to time to reflect changes in our Services, legal requirements or business practices. The updated Terms will be posted on the Website with a revised effective date. Continued use of the Website or Services after such changes take effect constitutes acceptance of the revised Terms. Material changes affecting an existing signed Order will not be applied retroactively without the Client's agreement.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. These Terms, together with any signed quotation, Order or Master Service Agreement and our Privacy Policy, constitute the entire agreement between the Client and Cityhub Tech & Design regarding the subject matter herein, and supersede any prior understandings or agreements, whether written or oral.
